Terms of Service

Jifu, LLC ("Jifu," "we," "our," or "us") operates askunclejifu.com ("the Site"). Jifu, LLC is a limited liability company registered in the State of Delaware, United States, with its registered office at 131 Continental Drive, Suite 305, Newark, DE 19713, United States. These Terms of Service ("Terms") govern your access to and use of the Site and any services purchased through it. By using the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site.

1. Services

Jifu, LLC provides AI consulting, implementation and managed-operations services, including AI automation, chatbot development, web development, search engine optimisation, advertising management, and related professional services. The specific scope, deliverables, timeline and fees for any engagement are set out in a written proposal, statement of work or order confirmation agreed between you and us. In the event of a conflict between these Terms and a signed statement of work, the signed statement of work prevails.

2. Accounts and Client Responsibilities

Where a service requires an account or credentials, you are responsible for keeping those credentials confidential and for all activity that occurs under them. You agree to provide accurate information, to hold all necessary rights and consents for any data, content or materials you supply to us, and to comply with all laws applicable to your business. You must not use the Site or our services to violate any law, infringe any third party's rights, distribute malware, attempt unauthorised access to any system, or interfere with the operation of the Site.

3. Fees, Billing and Taxes

Fees are stated in the applicable proposal or order confirmation and are payable in advance unless stated otherwise. Recurring subscriptions renew for the period stated at the time of purchase until cancelled in accordance with Section 6. Payments are processed by our third-party payment processor; we do not store full payment card details on our own systems. Unless expressly stated otherwise, fees are exclusive of applicable taxes, and you are responsible for any sales, use, value-added or similar taxes associated with your purchase.

4. Refunds and Cancellation

Refunds are governed by our Refund Policy, which forms part of these Terms. Where a trial period is offered and you cancel before it ends, you will not be charged for the following period.

5. Intellectual Property

The Site, its content, design, code, text, graphics and trademarks are owned by Jifu, LLC or its licensors and are protected by intellectual property laws. You may not copy, reproduce, modify, distribute or create derivative works from the Site without our prior written consent. For paid engagements, ownership of deliverables and any licence to underlying tools, frameworks or pre-existing materials is defined in the applicable statement of work. Unless stated otherwise, we retain ownership of our pre-existing materials and grant you a non-exclusive licence to use them as embedded in the deliverables.

6. Term, Suspension and Termination

These Terms apply for as long as you use the Site or our services. Either party may terminate a recurring subscription by giving written notice before the end of the then-current billing period. We may suspend or terminate access immediately if you breach these Terms, fail to pay amounts due, or use the services in a way that creates legal or security risk. On termination you remain liable for fees accrued up to the termination date, and provisions which by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — will continue to apply.

7. Third-Party Services

Our services may integrate with or depend on third-party platforms, including hosting providers, AI model providers, advertising platforms and payment processors. We are not responsible for the availability, performance, pricing or terms of those third-party services, and changes made by those providers may affect deliverables. Where you purchase a third-party service, your relationship for that service is with the third party under its own terms.

8. Disclaimers

The Site and our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that any particular commercial outcome, ranking, traffic level or revenue result will be achieved. Any examples, projections or case studies shown on the Site describe past results and are not a guarantee of future performance.

9. Limitation of Liability

To the maximum extent permitted by law, Jifu, LLC and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to these Terms or the services, whether based in contract, tort, negligence, strict liability or otherwise, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the services will not exceed the total fees actually paid by you to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Jifu, LLC and its officers, employees and agents from any claims, damages, liabilities, costs and reasonable legal fees arising out of your breach of these Terms, your violation of any law or third-party right, or the content and data you supply to us.

11. Confidentiality

Each party may receive information that the other treats as confidential. The receiving party will use such information only to perform its obligations, will protect it with reasonable care, and will not disclose it to third parties except to personnel, contractors and advisers who need to know it and are bound by equivalent obligations, or where required by law.

12. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page with the date of the most recent revision. Material changes will apply from the date they are posted. Your continued use of the Site or the services after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms and any dispute arising out of or in connection with them are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute through discussion. If the dispute is not resolved within thirty (30) days, it will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

14. General

These Terms, together with any applicable statement of work and our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Site and the services. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
